Terms of use and sale

1. Who we are
Menestrel is a service published by Agoraios Application (SAS), enseigne Agora Studio, French company registration (SIREN)908 978 653, registered office at 6 impasse de l'Église, 42580 L'Étrat, France ("Menestrel", "we"). Contact:bonjour@menestrel.dev.
2. Purpose
Menestrel is a headless CMS dedicated to sites built with the Astro framework: your editors change content in an admin interface, publishing triggers a rebuild of your site, and the site itself stays hosted with the provider of your choice. These terms govern account creation, use of the service, and the subscription of paid plans. Creating an account or subscribing to a plan means you accept them in full.
3. Who the service is for
The service is aimed primarily at professionals (developers, studios, agencies, companies). It is open to consumers; where consumer protection law applies, its mandatory provisions prevail over anything to the contrary in these terms. You must have legal capacity to contract and, when acting for an organization, authority to bind it.
4. Account and security
You are responsible for the accuracy of your account information, the confidentiality of your credentials, and the actions taken from your account and those of the editors you invite. Two-factor authentication is available and recommended for password accounts. Report any unauthorized use to us without delay.
5. Plans, prices and payment
The plan grid (Free, Site, Studio, Custom), plan limits (sites, entries, storage, editors, languages, deploy targets, version retention) and prices are published on the menestrel.dev pricing page. Prices are exclusive of tax; VAT is added at the rate in force. Payment is by card through our provider Stripe, yearly or monthly, with tacit renewal. Invoices are available in the billing screen. If a payment fails, automatic retries run for about 14 days while the plan stays active; afterwards the account returns to the Free plan, and no content is deleted.
We may change prices; an increase is announced at least 60 days before it applies to an existing subscription, at the earliest at its next renewal. If you refuse it, you may cancel before that renewal.
6. Term, cancellation, withdrawal
The subscription runs for the chosen period (month or year) and renews tacitly. You can cancel at any time from the billing screen; cancellation takes effect at the end of the current period, which remains due. At that point the account returns to the Free plan: your content stays in place within that plan's limits and the full export remains available.
Consumers: you normally have a 14 day withdrawal right. By subscribing you expressly request immediate performance of the service; you may still withdraw within 14 days against payment of the service already provided, pro rata (article L.221-25 of the French Consumer Code).
7. Your content and your sites
The content you and your editors create in Menestrel belongs to you. You grant us only the technical licence needed to host it, transform it (images, publication snapshots) and deliver it to your sites. You warrant that you hold the rights to the published content and that it is lawful. We may suspend an account in case of reported unlawful content or obvious abuse (spam, mining, attacks), with prior notice except in emergencies.
Reversibility: at any time, including on the Free plan, the export command returns all your content in open formats (markdown, JSON) together with your media. After deletion of a site or account, data is purged within 30 days.
8. Our service and its limits
A deliberate architecture choice: your published sites are static and served by your own hosting; they do not depend on Menestrel being up. An outage may delay editing or publishing, never the availability of your sites already online. The service is provided on a best-effort basis; no quantified service level is guaranteed outside the Custom plan and its dedicated contract. We keep regular encrypted backups of the platform; they do not replace your own exports.
The open source packages (@menestrel/astro, fields, cli, agent, create-menestrel) are provided under the MIT licence, "as is", under the terms of that licence.
9. Liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law. Subject to that, for professionals: our total liability under the service is capped at the amounts you paid us in the 12 months preceding the event, and indirect damages (loss of revenue, of business, of data you had not exported while export was available) are excluded. Neither party is liable for a failure caused by force majeure.
10. Personal data
The processing of personal data is described in theprivacy policy. For the content of your sites and the accounts of your editors, you are the controller and we act as processor: thedata processing agreement (DPA) is part of these terms for professional customers.
11. Changes to these terms
We may amend these terms, in particular to follow the evolution of the service or of the law. A substantial change is notified by email at least 30 days before it takes effect; if you refuse it, you may cancel before that date, and continued use means acceptance.
12. Mediation and disputes
Complaints: write to us first at bonjour@menestrel.dev; we answer within 30 days. Consumers in France may use a consumer mediation scheme free of charge after an unsuccessful written complaint (articles L.611-1 et seq. of the French Consumer Code); the mediator's details are provided on request and in the subscription confirmation.
These terms are governed by French law. For professionals, any dispute falls under the exclusive jurisdiction of the economic activities court of Saint-Étienne, France. Consumers may bring proceedings before the courts having jurisdiction under their own mandatory rules.
